PacklogX Terms and Conditions

Version 1.0.0 · Effective 20 September 2026

1. Service

PacklogX is a Software-as-a-Service platform for packaging compliance and sustainability management (the “Service”).

By creating an account, entering into a subscription or using the Service, the Customer agrees to these Terms and Conditions (the “Terms”).

The Service is intended primarily for business and professional use.

2. Nature of the Service

PacklogX is a compliance management and information management tool. It is not a law firm, consultancy or regulatory authority and does not provide legal advice.

The Service may assist the Customer in collecting information, managing evidence, assessing packaging requirements and generating reports, technical documentation and declarations.

Outputs generated by the Service are based on information, documents, rules and other data available to the Service at the relevant time.

The Customer remains responsible for reviewing and approving all outputs before relying on them or using them externally.

3. Customer Responsibilities

The Customer is responsible for:

  • the accuracy, completeness and lawfulness of all information entered into the Service;
  • ensuring that information and documents supplied to PacklogX may lawfully be uploaded and processed;
  • maintaining the accuracy and validity of its packaging, material, supplier and compliance information;
  • fulfilling its obligations under the PPWR, EPR schemes and other applicable legislation;
  • reviewing reports, declarations of conformity, technical documentation and other outputs before external use;
  • ensuring that users accessing the Service on behalf of the Customer are authorised to do so; and
  • maintaining the confidentiality of its account credentials.

PacklogX does not replace the Customer's own legal, regulatory or technical responsibility.

4. Acceptable Use

The Customer shall use the Service only for lawful business purposes.

The Customer shall not:

  • upload unlawful, malicious or harmful content;
  • attempt to gain unauthorised access to the Service or another customer's data;
  • interfere with the security, availability or operation of the Service;
  • use the Service to distribute malware or other harmful code;
  • attempt to circumvent access controls or security measures; or
  • use the Service in a manner that could reasonably damage PacklogX or other users.

PacklogX may temporarily suspend access where reasonably necessary to protect the Service, its users or third parties, particularly in cases of security threats, unlawful use or serious breach of these Terms.

5. AI Functionality

The Service may include AI-assisted functionality.

AI-generated output is provided on an “as is” basis and may contain errors, omissions or inaccuracies. AI output does not constitute legal advice or a legally binding determination of compliance.

The Customer remains responsible for independently reviewing and verifying AI-generated output before relying on it.

6. Fees and Subscriptions

Subscriptions are billed in advance according to the applicable plan selected by the Customer.

Unless otherwise agreed in writing, subscription fees are non-refundable except where a refund is required by applicable law.

Each new Customer workspace starts with a free 30-day trial on the Starter plan. No payment is required during the trial. The Customer may select a paid plan before the trial expires.

If the trial expires without conversion to a paid subscription, access to the workspace is restricted until the Customer selects and activates a paid plan. Customer Data is retained in accordance with these Terms and is not deleted merely because the trial expires.

Each plan includes a monthly allowance of AI credits. AI credits used above that allowance are charged at €0.30 per additional AI credit and included in the applicable invoice.

Current plan prices, billing frequency, included allowances and other applicable limits are communicated before a paid subscription is activated.

PacklogX may change subscription prices for future subscription periods by providing reasonable prior notice.

7. Data and Security

PacklogX will apply appropriate technical and organisational measures designed to protect Customer data against unauthorised access, loss or unlawful processing.

The Customer is responsible for maintaining appropriate security of its own accounts and user credentials.

PacklogX may use third-party service providers to host, operate, secure or support parts of the Service. Such providers may process Customer data where necessary to provide the Service and subject to applicable contractual and data protection requirements.

Where PacklogX processes personal data on behalf of the Customer, the applicable Data Processing Agreement (DPA) forms part of the agreement between the parties.

8. Customer Data and Data Export

The Customer retains its rights to the Customer Data that it uploads to or creates within the Service.

During an active subscription, the Customer may export its available Customer Data using the export functionality provided by PacklogX.

Customer Data may include, where applicable:

  • company and customer information;
  • product groups;
  • packaging profiles and packaging components;
  • material and supplier information;
  • documents and evidence;
  • orders and order-related information;
  • compliance assessments and results; and
  • other information entered or generated by the Customer through the Service.

PacklogX will not use Customer Data for purposes unrelated to providing, securing, maintaining or improving the Service, except where otherwise agreed or required by law.

The specific export formats and functionality available may depend on the Service and plan used by the Customer.

9. Confidentiality

Each party shall keep confidential information received from the other party that is reasonably understood to be confidential.

Confidential information shall only be used to perform or receive the Service and shall not be disclosed to third parties except where necessary to perform the agreement, where authorised by the other party or where disclosure is required by law.

This obligation does not apply to information that is publicly available, was already lawfully known, is independently developed or is lawfully received from a third party without confidentiality restrictions.

10. Intellectual Property

PacklogX and its licensors retain all rights, title and interest in the Service, including its software, interface, architecture, functionality, designs, documentation and underlying technology.

The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the applicable subscription period.

The Customer retains ownership of its Customer Data.

Nothing in these Terms transfers ownership of the PacklogX software or underlying technology to the Customer.

11. Availability and Maintenance

PacklogX will use reasonable efforts to keep the Service available and operational.

PacklogX may temporarily restrict or suspend access where reasonably necessary for maintenance, security, updates, technical problems or circumstances outside PacklogX's reasonable control.

Where reasonably practicable, PacklogX will provide advance notice of planned maintenance that materially affects availability.

PacklogX does not guarantee uninterrupted or error-free availability of the Service.

12. Limitation of Liability

To the maximum extent permitted by applicable law, PacklogX shall not be liable for:

  • inaccuracies resulting from Customer-entered data or documents;
  • the Customer's failure to comply with PPWR, EPR or other legal obligations;
  • incorrect or inappropriate use of the Service;
  • decisions made by the Customer based on unverified outputs;
  • indirect, incidental, consequential, special or punitive damages; or
  • loss of profit, goodwill, business opportunity or business interruption.

PacklogX shall not be liable for failures caused by circumstances outside its reasonable control.

To the maximum extent permitted by applicable law, the total aggregate liability of PacklogX arising from or relating to the Service shall be limited to the fees actually paid by the Customer to PacklogX during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by mandatory law.

13. No Guarantee of Compliance

PacklogX does not guarantee that use of the Service will result in compliance with the PPWR, EPR requirements or any other specific law, regulation, standard or scheme.

Compliance depends, among other things, on the accuracy and completeness of Customer Data, applicable legislation, available evidence, supplier information and the Customer's own actions.

The Customer remains responsible for determining whether its products and packaging comply with applicable requirements.

14. Term and Termination by the Customer

Unless otherwise agreed in writing, the Customer may terminate its subscription in accordance with the applicable subscription period and cancellation terms.

Termination does not affect payment obligations accrued before the effective termination date.

15. Termination by PacklogX and Discontinuation of the Service

PacklogX may terminate the Service for a Customer with at least three (3) months' prior written notice, except where a shorter period is reasonably necessary due to:

  • a legal or regulatory requirement;
  • a serious security incident;
  • a material breach by the Customer;
  • insolvency or bankruptcy;
  • circumstances beyond PacklogX's reasonable control; or
  • circumstances in which continued operation of the Service is no longer reasonably possible.

Where PacklogX permanently discontinues the Service, PacklogX will, where reasonably practicable, provide customers with at least three (3) months' prior notice.

During the notice period, the Customer will retain normal access to the Service, subject to these Terms and the applicable subscription.

16. Data Export Following Termination

Where PacklogX permanently discontinues the Service, the Customer will have the opportunity to export its Customer Data during the notice period.

Following termination of the Service, PacklogX will provide a 30-day read-only period where reasonably practicable, during which the Customer may access and export remaining Customer Data.

After this period, PacklogX may delete Customer Data, except where retention is required by applicable law or is reasonably necessary for the establishment, exercise or defence of legal claims.

Where personal data is processed by PacklogX on behalf of the Customer, the applicable DPA governs the return or deletion of such personal data.

17. Third-Party Services

The Service depends on third-party services for hosting, authentication, database and file storage, transactional email, AI processing and billing administration.

PacklogX is not responsible for interruptions or failures caused by third-party services outside PacklogX's reasonable control.

18. Force Majeure

PacklogX shall not be liable for failure or delay caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, governmental actions, major infrastructure failures, internet failures, widespread cyber incidents, labour disputes or failures of essential third-party services.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-laws rules.

Any disputes shall be submitted to the competent courts in the Netherlands, unless mandatory applicable law requires otherwise.

20. Changes to these Terms

PacklogX may amend these Terms where reasonably necessary, including due to changes to the Service, applicable law, security requirements or business operations.

Material changes will be communicated to the Customer in advance where reasonably practicable.

Where required by applicable law, the Customer will be asked to accept the updated Terms before continued use of the affected Service.

The applicable version of the Terms will be identified by version number and effective date.
